Lawyer (Corporate Governance Expert)

We are looking for a legal expert to join our corporate governance team. The position is a part of the unit which is directly subordinated to the Supervisory Board, managed by the Corporate Secretary and responsible for comprehensive ongoing support of the Supervisory Board and its committees, as well as other related corporate governance and legal matters. It is expected that the Corporate Governance Expert, being part of this unit, will assist his/her senior team members in ensuring a proper activity of the Supervisory Board’s committees, their good documentation, provide legal, regulatory, administrative and other related assistance.

Key Responsibilities:

• Assist senior team members in arranging and holding ordinary and extraordinary meetings of the Supervisory Board’s committees, preparation of related documentation
• Collect required information and materials for their proper consideration during the meetings
• Assist in drafting legally correct minutes of the meetings (both in Ukrainian and English), maintaining database of the minutes and tracking execution of the decisions taken, prepare extracts from them
• Ensure compliance of the committees' activity and documents with legal, regulatory and internal requirements of the bank
• Prepare and check various legal and other documents related to the corporate governance area — memos, internal policies, contracts, reports, presentations etc.
• Provide assistance on other matters falling within the competence of the unit

Candidate Requirements:

• University degree in Law
• 2+ years of relevant professional experience in legal and/or corporate governance sphere (preferably, as a corporate lawyer and/or corporate governance expert), experience of working in a bank or a law firm will be considered as advantage
• Strong communication and inter-personal skills
• Very good command of verbal and written English
• Excellent writing skills, proven ability to draft good documents in English and Ukrainian
• Ability to do a great deal of technical work by maintaining exceptional attention to details
• Team-player, practical, result-oriented, and able to partner effectively with cross-functional teams
• Demonstrated ability to pick things up quickly, work well in a fast-paced environment and under the pressure
• Ability to independently manage and prioritize competing demands and multiple issues, while maintaining high attention to detail
