Main responsibilities:
- draft, review, and negotiate a wide range of commercial contracts in accordance with Common Law principles, including Shareholders’ Agreements, Share Purchase Agreements, Loan and Credit Line Agreements, Services Agreements (including other related corporate documents), license agreements, NDAs, etc.
- support day-to-day corporate document flow for legal entities in multiple foreign jurisdictions (UAE, Cyprus, African countries, etc.)
- conduct comprehensive legal research on various issues related to the company’s operations, including obtaining payment, financial licenses, regulatory changes and industry-specific laws
- maintain and update multiple internal databases on corporate information, documents, and agreements
- incorporate companies in appropriate jurisdictions to support licensing applications for financial, payment, and other regulated services
- advise on optimal corporate structures to meet regulatory and licensing requirements, including capital requirements, shareholder composition, and governance structures
- liaise with regulatory authorities, corporate registries, and service providers to facilitate smooth company formation
- manage and advise on all aspects of M&A transactions, including drafting and reviewing transaction documents (Term Sheets, LOIs, SPAs), conducting legal due diligence, identifying and mitigating risks, leading negotiations, coordinating closings, and overseeing post-closing obligations and integration
- assist in opening bank accounts/EMIs
- coordinate work of a junior legal
Qualifications:
- master's degree in law
- 5+ years of proven experience working in fintech, gaming or a relevant business niche;
- solid knowledge of common law, contract law, and corporate law
- excellent drafting, analytical, legal research skills, ability to analyze complex legal issues
- strong attention to details and ability to manage multiple projects
- previous experience in licensing processes (e.g. gaming, financial or tech sectors) would be an advantage
- familiarity with international legal frameworks
- fluent written and spoken English
- communication skills, with the ability to explain legal matters in a clear and concise manner
- attention to details and the ability to manage multiple tasks effectively
- strong analytical and problem-solving skills
- ability to handle confidential information with discretion
